Good Morning…you are receiving this email as a Park Paseo homeowner.  We are continuing to improve our communications throughout the community, by using this Email BLAST list to keep you informed.  Should you wish to ‘opt out’ and not receive emails from the Association, please respond to this email by putting “No Thanks” in the subject box.

UPDATES

  • Prosa Pool deck is done and the pool is open.  Go by and take look at the remodel.  It’s beautiful!
  • Annual Election – The date this year had to be changed to Tuesday, November 10th. If you’re interested in running for the Board, you should have received the Call for Candidates form via the USMail by now.  Candidate statements are due the 20th of August.  Ballots will be coming in October – please take time to VOTE!
  • Clubhouse Pool & Spa Deck Project will begin October 1st and will take approximately four(4) months to complete.  This  means the Clubhouse Pool area will be totally closed off during this time.  We’re working on a way to keep the tennis courts open, but that’s yet to be determined. Updates will be coming as we go along.
  •

Lastly, a big THANK YOU to homeowners who continue to follow the COVID19 rules in our facilities. This enables us to keep them open!

We wish everyone well and stay safe!

Lynn;

Please pass this on to the Board for tonight’s meeting.

I would like to know the status of the following items:

  1. Landscapping. As indicated below the Common Area Landscaping is beginning to deteriorate. My recommendation was that the Board or a Board member walk-through the neighborhood to determine if the issues I have seen have been repaired. Has a member of the Board determined what issue there are and what issues remain with respect to landscaping?
  2. Curb Repair. As noted, the curbs on the South end of Palmatum are in need of repair or replacement. Has the city been informed?
  3. The Prosa and Clubhouse pool efforts were discussed in the Board Meetings I attended. My understanding is that the current refurbishment efforts are between $150,000 and $200,000 over the reserve budgeted amount. Is this correct?
  4. The  July Board Meeting was  held at the Clubhouse patio. This was a good setting and very pleasant, but it was difficult for Board members and myself to hear each other. It would seem better to have internet meetings to allow us to hear each other better, and to allow for a wider audience participation. Is such a plan in the works?
  5. The Park Paseo Association Website is truly a mess.  This has been brought up to the Board each month in which I have attended a meeting from March to July. It remains a mess. Will the Board take control of our website and ensure that it is properly curated?
  6. The specific issues (this month) are:

    1. June Board Agenda is missing.
    2.

    3. June and July Board Minutes are missing.
    4.

    5. June and July Architecture Meeting Agenda are missing.
    6.

    7. All Agenda, Minutes and Newsletter posting from January to the present to not follow a consistent naming convention and the sorted list of entries makes it difficult to find an entry for any given month for any given entry. Previous to January, 2020 it was possible to find documents easily.
    8.

    9. July Architecture Meeting Minutes is missing.
    10.

    11. June Architecture Meeting Minutes have been removed.

Of note is that the 30 Apr 2020 email received as a result of my request for Architecture Meeting documents the Association agreed to being publication of Architecture Meeting Minutes and Agenda on a monthly basis. As of this writing this agreement is in forfeit.

I would like to discuss this tonight and come to a resolution as to all outstanding issues.

Thank you;

Hi Lynn

Thank you kindly for your email. There were no responses attached to the email or contained in them.

You need not provide any. I am attaching a Acrobat pdf file of things that I’d like to discuss at the 14 Sep 2020 Board Meeting. Would you please make them and Agenda item. As pointed out in our emails and at the 10 Aug 2020 meeting, there wasn’t sufficient time to place them on the Agenda, and the extent of the information makes a discussion of the items more than the allocated 5 minutes. As  you have pointed out, Associa requires a 10-day advance warning to place things on the agenda. Today is about 17 days before the Board Meeting so there should be enough time.

thanks and keep well;

I don’t have any more time, and with all due respect Ms. Wyatt, I’d like to address my issues at the next Board Meeting. You have an Acrobat pdf file attached to the previous email, would you please make it an Agenda item?

Sep. 10, 2020 Request for Cost of upgrade to Prosa & Clubhouse pools

Thank you Lynn;

It’s most gracious of the Board to fail to answer questions. Striking given that apparently there was an attempt to send answers to the previous questions given at the  August Board meeting during, but at variance with your email specifying that to be heard I would be required to put my questions on the Board Agenda, see your email of 10 Aug 2020 9:34 AM. I have attempted to do so and the Board has elected to ignore your statement.

What are the time limits for Association members whose requests are on the Agenda? Your email of 10 Aug 2020 does not specify a time. Is this time noted in any governing document or other Park Paseo Homeowners Association documentation? Does this document specify detail on what or how much a member is permitted to ask?

Given that the Board can not afford me time for a full response, please send me the contract and all financial information for the Prosa Pool repair and any financial data available for the Clubhouse pool.

I need not belabor that as fiduciaries for the Park Paseo Homeowners Association, the Board is required to follow all California Statutory guidance (California Civil Code 4000 – 5000 plus Corporate and other California statutes) as well as the Park Paseo Homeowners Association governing documents.  I make specific mention of Association Bylaw (VII)(2)(2) which requires that the Association members vote on financial matters in excess of $44,400 over the planned budget. There is a consequence to broaching fiduciary responsibility. In particular, a suit against a Board member may not be covered by the Association D & O insurance, most particularly since it is a misdemeanor in California to compromise ones fiduciary responsibilities.

Thank you very much for your response. Stay well.

At the 14 Sep 2020 Board Meeting, Gus Aarnes said that there was a legal opinion that said that Bylaw VII(2)(2),  “Incurring aggregate expenditures for capital improvements to the common area in any fiscal year in excess of 5% of the budgeted gross expenses of the Association for that fiscal year.” applies only to new items and not to maintenance items. Could you please send me a copy of this legal opinion?

Hi Lynn;

Just a note. On 10 Sep 2020, and then again on 18 Sep 2020, you were asked to provide Association Records concerning the Prosa Pool and Main (Clubhouse) Pool upgrades. The requested documents were the contracts to the respective companies doing the upgrades, and any financial information concerning the upgrades. It is now some 15 days after the original request and I wonder if there is anything I can do to help. Do you need aid in researching Associa’s online resources in locating the requested contracts? I can help with this if you’d like. Is there some impediment to releasing Association Records? If you tell me what the impediment is then we can work to repair it.

In any case, I am willing to help to acquire the requested documents.

Hi Lynn;

This is inaccurate and legally wrong. The attorney-client privilege restricts the attorney and not the client. The attorney is prohibited from revealing any conversations with the client. The client is not so restricted.

You probably mean that the Board or Directors signed a non-disclosure agreement with the attorney at the attorney's request. If this is true then it is illegal. The attorney can not restrict the Board members in their dealing with him nor restrict the Board members from their dealings with members of the Park Paseo Homeowners Association.

Please send me the legal opinion.

Thank you and stay healthy

Subject:Legal Opinion
From: lostbits <forum@slipbits.com>
To: Lynn Wyatt <Lynn.Wyatt@associa.us>
Date: 10/8/2020, 12:24 PM

Hi Lynn;

I'm sorry, the statements sent are accurate but I forgot to mention that the Board president, Gus Aarnes, revealed in public session at the 14 Sep 2020 meeting that he had a legal opinion from the Association attorney, and that the content of that legal opinion was to differentiate Bylaw VII(2) into dealing with common property upgrades and new purchases. Mr. Aarnaes stated that the attorney's legal opinion was the Bylaw VII(2) voting requirement was restricted to new common property purchases but that upgrades were not required to have a vote.

This public speaking vitiated any concealment requirement. That is, if the Board's position is that the attorney client privilege is legal and binding on Board members or that an attorney sponsored non-disclosure agreement is legal and binding, public discussion has broached both of these cases. In giving public testimony on what the Board now says is privileged, the Board has breached its stated agreements.

As indicated below, both standpoints, that is, that there is an attorney-client privilege and/or that there is a non-disclosure agreement, are not legal to the Board of Directors.

Please send me the legal opinion.

Thanks and stay healthy;
