Could you please correct the Association Website.
- Newsletters:
- The 2020 Newsletter format has changed. This leads to an incorrect sort order (Apr., Feb, Jan, Mar, instead of Jan., Feb., Mar., Apr. It might be better to use the old format of year-month.
- There is no explanation of what 776 means in month776.
- The Apr776.pdf newsletter is for Feb., 2020 instead of Apr., 2020
- The Feb776.pdf newsletter is for Dec., 2019 instead of Feb., 2020
- The Mar776.pdf newsletter is for Jan., 2020 instead of Mar., 2020
- The Jan776.pdf newsletter is for Jan., 2020 and need not be changed
- Using a Microsoft document on the web site makes the documents unreadable by users who have not purchased Microsoft software. In some environments, particularly Linux based operating systems, Microsoft software is generally unavailable. It has been the custom until Jan 2020 to use Adobe Acrobat files (.pdf) for uploading on the site. One rationale is that Adobe Acrobat readers are freely available and widely distributed. This may be a good time to get in the habit of uploading only Adobe Acrobat files.
- There are Jan – Apr Board agendas but only Jan and Feb Board Minutes. When you get a chance maybe you can put the missing minutes on the Association’s Website.
- he naming convention for post Jan 2020 files for Newsletters and Board Minutes and Board Agenda’s are different. Would it be possible to make them consistent. Prior to Jan., 2020 all the postings had the same format. If would be useful to retain consistency in whatever format you choose.
- The naming scheme chosen for newsletter updates maintains an incorrect sort order and if the ‘776’ suffix is maintained, does not allow multi-year newsletters to be uploaded. That is, apr776.pdf 2021 will replace apr776.pdf 2020. One additional comment, using the ‘776’ suffix is inconsistent with identifying the year the newsletter was published.
- The naming scheme chosen for uploading the Board Agenda and Board Minutes does not allow for correct multi-year presentation of data. Using the format of month-day-year means that all months will be sorted so that their entries are adjacent. For example the Board Minutes Feb., 2020 and Feb., 2021 will be sorted so that the 2021 entry immediately follows the 2020 entry. And for the Board Agenda the 4-13-20 entry will follow the 4-8-21 agenda. The system chosen prior to 2020 was year-month which maintains the correct sort order.

Yes I certainly will. Please allow me some time. I totally agree there needs to be better organization and it is on my list to do. It’s been very busy here and I’ve had to attend to a number of items due to COVID19. As you know, it changes daily and so hard to keep up with. This email is directed to the Park Paseo Homeowners’ Association Board.
On a 28 Apr 2020 email from Lynn Wyatt it was stated that “… the Board voted at the April meeting to start putting the Architectural Meeting Agendas and Minutes on the website starting June 1st.”
At the 8 Jun 2020 meeting this was clarified to be the posting of information after the June Architecture Committee meeting. Such posting to commence on 1 Jul 2020.
As of 12:00 AM on 13 Jul 2020 such posting has not been done.
Please post as agreed to.

This document is meant for Park Paseo Homeowners Association Board members use.
It has been pointed out that the general nature of our landscape is deteriorating. This deterioration will continue unabated unless the Board takes direct action to ensure that the Association Common Areas are correctly cared for by the Association’s contracted maintenance company.
This lack of care and its visible consequences was brought to the Board’s attention at their 8 Jun 2020 meeting, and I believe, at their 11 May 2020 meeting. I have waited to inspect the Common Area until today, and do not do so today because of heat.
The issue with diligent landscaping is urban blight. One symptom of blight are just those landscaping things that we have, to wit, dead and dying plants, a proliferation of weeds, lack of bush trimming, and eventually, bare earth that used to have plants and shrubbery. We are at the start of this. As this condition progress, as blight begins to settle, our communities property values will decrease, no one will want to live here.
The change from beauty to blight is gradual, almost unnoticeable. You can’t see it until it’s too late. When it is too late you can’t wave a magic wand and make it disappear. The community will have lost it’s reputation, and even if all the disagreeable landscape issues were repaired, the reputation would still not increase.
It is up to the Board to see that this does not happen. I recommend that the Board constitute itself to walk through and note those areas which should be attended to. And to then either require our existing contracted landscapers to “start doing their jobs” or to solicit bids from their competitors.

The Latest Walkthrough results (about two weeks ago):
The last time I walked through the community I noticed that in addition to previously detailed areas which needed maintenance, that the curbs on Palmatum by the school are ‘handicapped’. The City should be informed that these curbs should be repaired or replaced.
In addition, the grass area by Palmatum has large, not very pretty, weeds.
The Clubhouse still has untrimmed bushes in front of it, and a dead bush lying there for all to see – this is a residual issue from the last two Board meetings.
All results are subject to your inspection. Given the past lackadaisical attitude in attending to these issues, they will be available whenever you care to see them. You don’t need me.

I have no idea what you just wrote.
You haven’t said that you would relay issues which are not the Association’s responsibility to the parties that are responsible. Curious omission. “Our” responsibility is to see that “our” community is well tended. Part of “our” responsibility is to inform other stakeholders that they should attend to their responsibility. Given your curious email it looks like rather than informing other stakeholder that “our” community is adversely affected, we will just turn our eyes and hope the issue disappears.
But in terms or “our” responsibility it does appear that “our” landscaping needs some adjustment. There are plants which are dead, areas not getting enough water, weeds, lack of trimming, shrubbery extending onto the sidewalk, tree droppings which are not cleared, and other sundry issues presented previously.
The irony is that the lack of foliage trimming and dead bushes are right smack dab in front of the Clubhouse. An eyesore that all can enjoy. And this is an ‘old’ issue.
Anyhow you need not respond. I think that you’ve probably made your point. Good one to.

I would like to know the status of the following items:
- : Landscapping. As indicated below the Common Area Landscaping is beginning to deteriorate. My recommendation was that the Board or a Board member walk-through the neighborhood to determine if the issues I have seen have been repaired. Has a member of the Board determined what issue there are and what issues remain with respect to landscaping?
- : Curb Repair. As noted, the curbs on the South end of Palmatum are in need of repair or replacement. Has the city been informed?
- : CThe Prosa and Clubhouse pool efforts were discussed in the Board Meetings I attended. My understanding is that the current refurbishment efforts are between $150,000 and $200,000 over the reserve budgeted amount. Is this correct?
- : The July Board Meeting was held at the Clubhouse patio. This was a good setting and very pleasant, but it was difficult for Board members and myself to hear each other. It would seem better to have internet meetings to allow us to hear each other better, and to allow for a wider audience participation. Is such a plan in the works?
- : The Park Paseo Association Website is truly a mess. This has been brought up to the Board each month in which I have attended a meeting from March to July. It remains a mess. Will the Board take control of our website and ensure that it is properly curated?
The specific issues (this month) are:
- . June Board Agenda is missing.
- . June and July Board Minutes are missing.
- . June and July Architecture Meeting Agenda are missing.
- . All Agenda, Minutes and Newsletter posting from January to the present to not follow a consistent naming convention and the sorted list of entries makes it difficult to find an entry for any given month for any given entry. Previous to January, 2020 it was possible to find documents easily.
- . July Architecture Meeting Minutes is missing.
- . June Architecture Meeting Minutes have been removed.
Of note is that the 30 Apr 2020 email received as a result of my request for Architecture Meeting documents the Association agreed to being publication of Architecture Meeting Minutes and Agenda on a monthly basis. As of this writing this agreement is in forfeit.
I would like to discuss this tonight and come to a resolution as to all outstanding issues.

I sure wish I would have had this last week. It’s really too much to discuss during Homeowner’s Forum (HF) and short notice. I could have put you on the Agenda, which gives you a little more time than HF. As you know HF is for brief comments/questions and a time limit is set – usually 5 minutes per homeowner.
You see anyone who wishes to discuss something with the Board must get me their written information at least seven days BEFORE the meeting. The Board packets are printed and delivered at that time. That way it’s in the Board packet, they have time to review and be ready to discuss at the meeting.
So for tonight, I’ll print this out and distribute to the Board but they will not be able to address until the next meeting. Going forward, if you would please get me your questions/concerns a week before the meeting and not hours before the meeting, and I’ll be sure and have it in the Board packet.

Thank you. In particular, thank you for telling me the expected lead-up time to get on the agenda. Is this notification time in any of the Association publications? I have neither seen nor heard of it before.
If past attendance at meetings is any indication of current attendance, then I will be the only non-Board member present. I guess what you are saying is that even though there is no one else wishing to speak to the Board, that the Board time is important enough that only 5 minutes can be allocated. I guess that means that the total time spent in addressing all member concerns at the Board Meeting is 5 minutes. If there were two non-Board members present, then the total time allocation would be 10 minutes, and so on for more. Interesting.
In any case, there is no need to take up the Board time, a written reply is more than adequate. That way the Board can conserve their 5 minutes to discuss more pressing issues. If a written response is not deemed in the Boards interest, then why doesn’t the Board just answer the questions. In that way we can reduce interaction maximally, that is, I won’t need to spend any time discussing the items, the Board need only answer the questions. No need to waste any time with me needlessly repeating information that the Board already has, spending all of the Boards valuable time in just having the Board answer the few questions put forward to it. How does that sound?
If the Board responds in writing then no Board Meeting time is spent, that is, you don’t need to waste 5 minutes of valuable Board time in discussing member concerns, and if the Board just answers the questions then there is minimal time spent in addressing member concerns. As a boost to productivity, Board answers during this meeting would remove the requirement for another meeting, with me on the Board Agenda, to discuss these questions. My, the Board can now become a smooth running entity wasting no time on unnecessary distractions.
So, I don’t think it needful to put me on a future Board Agenda. The Board has only to answer the questions put forward to it. I don’t even need to be a participant in any discussion, which further conserves Board time.

I’m going to have to respond briefly. The one week requirement to get the Board packet to the Board is not a law but rather a requirement of my company. As you know, the Board is voluntary position, and we want to respect their time and efforts, so we try to get them all the information they need ahead of time. We have told homeowners this requirement when they ask, and it’s even been said at meetings. We’ve never had a problem.
Homeowner’s Forum This is a time where the Board listens and typically does not engage with homeowners. They usually take all under advisement and will get back to the homeowner(s) via different ways. And yes, time is precious for all.

The online copy of the CC&Rs has 25% of the text obscured on the page of text titles “Amendment of Declaration of Covenants, Conditions and Restrictions”. I don’t believe that the document is legal if it contains hidden text. Could you see that our Association website is changed to contain the legally binding documentation?

There are monthly landscape inspections with the Foreman of Harvest Landscape. We make notes and determine actions on those walks. Additionally, emails are sent throughout the month to the Foreman to address any concerns – ie: irrigation/area missed/etc. Harvest has been very responsive;
I will follow up again;
No it is not correct. Total costs for the Prosa Pool were $130,412 which included four addendums to the original contract. We also purchased new umbrellas and umbrella stands which were purchased at Costco which added about $2800. The Reserves had a balance for this project that was saved for over the past few years. I’m not sure where you’re getting your #’s.
Right now the Board has chosen to meet on the patio.

You need not provide any. I am attaching a Acrobat pdf file of things that I’d like to discuss at the 14 Sep 2020 Board Meeting. Would you please make them and Agenda item. As pointed out in our emails and at the 10 Aug 2020 meeting, there wasn’t sufficient time to place them on the Agenda, and the extent of the information makes a discussion of the items more than the allocated 5 minutes. As you have pointed out, Associa requires a 10-day advance warning to place things on the agenda. Today is about 17 days before the Board Meeting so there should be enough time.

It’s most gracious of the Board to fail to answer questions. Striking given that apparently there was an attempt to send answers to the previous questions given at the August Board meeting during, but at variance with your email specifying that to be heard I would be required to put my questions on the Board Agenda, see your email of 10 Aug 2020 9:34 AM. I have attempted to do so and the Board has elected to ignore your statement.
What are the time limits for Association members whose requests are on the Agenda? Your email of 10 Aug 2020 does not specify a time. Is this time noted in any governing document or other Park Paseo Homeowners Association documentation? Does this document specify detail on what or how much a member is permitted to ask?
Given that the Board can not afford me time for a full response, please send me the contract and all financial information for the Prosa Pool repair and any financial data available for the Clubhouse pool.
I need not belabor that as fiduciaries for the Park Paseo Homeowners Association, the Board is required to follow all California Statutory guidance (California Civil Code 4000 – 5000 plus Corporate and other California statutes) as well as the Park Paseo Homeowners Association governing documents. I make specific mention of Association Bylaw (VII)(2)(2) which requires that the Association members vote on financial matters in excess of $44,400 over the planned budget. There is a consequence to broaching fiduciary responsibility. In particular, a suit against a Board member may not be covered by the Association D & O insurance, most particularly since it is a misdemeanor in California to compromise ones fiduciary responsibilities.

I just noticed that you included the Board Agenda for the 14 Sep Board meeting. Thanks. I would have said something before, but I just didn’t notice it.
I’ve looked at the Agenda and don’t see any reference to either the issues I’ve sent you, the document that was sent or me as a member of the Association. According to your 10 Aug email, I needed to give you at least 10 days notice to be placed on the Board agenda. I gave 17 days notice and I am not placed on the Sept. agenda. Is there a reason for this?
I have tried to find out where the Board meeting is to be held, and if online, how to connect. Normally an indication is given in the monthly Association newsletter. I have not received the newsletter. Every month since Oct. 2013 the newsletter and monthly statement have been combined and emailed to me. This months statement and newsletter have not arrived.
Contact information is given on each months statement. On 8 Sep 2020 I emailed a request for the statement and newsletter. On 10 Sep 2020 I left voice mail concerning the statement and newsletter. In no case has Associa responded to my member request. Could you please send me information on where the Sep. Board meeting is to be held, and if online, what needs to be done to connect?

I have been trying to logon to the ParkPaseoIrvine.com member logon since the beginning of November. I sent you an email to this effect on 3 Nov 2020 and received no response.
When I attempt to logon using Windows Internet Explorer I get the following message:
“Oh oh! Your browser is not supported. To use TownSq, we recommend using the latest version of Chrome, Safari, Firefox, or Edge.”
When I attempt to logon using the latest version of Firefox (82.0.3) I get a blank screen.
Can you please verify when the website can be logged onto?

I just read CC&R Article XIV(5) which states:
“Section 5. Amendment. This Declaration may be amended by an instrument signed by the Owners of not less than seventy-five (75%) of the Lots, provided, however, that any such amendment shall also be approved in writing by the Director of Community Development of the City of Irvine and until such written approval shall be recorded, any such amendment shall not be effective. Any amendment must be recorded provided, however, that no such amendment that would materially change the rights, preferences or privileges of any person, or restrictions upon any Lot affected thereby shall be submitted for approval to Owners without the prior consent of the California Real Estate Commissioner as set forth in California Business and Professions Code, Section 11018.7 (if such section is applicable). Notwithstanding the foregoing, as to annexation, the provisions of Section 4 of Article X hereof entitled “Annexation of Additional Property” shall supersede the provisions of this Section 5.”
This may be a good time to consider having a vote of the Association Membership as required by the current and existing CC&R’s. The Board of Directors can not unilaterally decide to amend the CC&R’s. There is no provision for this action within the document. The Board of Directors is obligated to adhere to and enforce the Association governing documents as specifically identified in the Davis-Stirling Act. Any action taken in violation of the Davis-Stirling Act and/or the Association governing documents is not legal under existing rules, regulations, and statutes.
Please notify me if the Board intends to go forward with modifying the CC&R’s without first taking a vote.
My vote is no, I do not approve the amendment.

Hi Dan;
I have not received my copy of the 2020 Auditor Report and the Auditor Report is not posted in the Park Paseo Community Website. According to Park Paseo Bylaws. Article VIII Section 8(d), the report must be made available within 30 days of the completion of the report. According to your email, the report was approved on 10 May 2021 and I would expect that it was received between 12 Apr 2021 and 7 May 2021. This means the 30 day limit was met between 11 May 2020 and 5 Jun 2021.
Please provide such copy of the report. It can be sent by email to expedite it’s release to me.

Attached is the final audit. The final audit was delayed due to turn over of documents from the prior management company. This resulted in a delay between the approved rough draft audit and the final audit that is attached – the final audit was received on June 22nd.
This audit will be mailed out next week.

Bylaw Article VIII Section 8 states:
(d)The treasurer shall be responsible for receiving and depositing in appropriate bank accounts all monies of the Association and shall be responsible for disbursing such funds as directed by resolution of the Board of Directors, shall sign all promissory notes of the Association, shall keep proper books of account, shall cause an annual audit of the Association books to be made by a public accountant at the completion of such fiscal year, and a copy of said report shall be made available to each member within 30 days of completion of such report, and shall prepare an annual budget and a statement of income and expenditures to be presented to the membership at its regular annual meeting, and deliver a copy of each to the members.
There is no exception for changing management companies. You have, in the past, emailed me the approved report, but I have not yet received an official report. You have indicated that the signed and approved report is under revision by the contracted Park Paseo Homeowner Association auditor. This report is now 60 days due, 30 days late. Please provide this official report to all members.

The final audit is attached. This will be sent out in the mail to the entire membership.
The change in management companies may or may not have resulted in the delay. The delay was due to the auditor wanting details on the deposited funds that there is no information on. As a result, the qualified opinion on the bottom of page one was then issued and then the auditor sent over the audit on June 22nd. I’m submitting this audit for mailout to the membership.

I can’t find any Board Agenda’s and Architecture Committee Agenda or Minutes on the Website. Also missing is the July Newsletter and any announcement of the forthcoming election requirements and procedures, and the Annual Audit, now 55 days late according to the Association Bylaws. Also missing are any Board minutes this year except for the May minutes. Is there any chance you can email me the missing documents and update the website?
By the way, the Website shows true promise. It is much better than the previous one.

I will email the website administrator to update the website.
The May and June minutes are attached. The July newsletter is attached but will be modified and emailed out later today with a change to encourage people to run for the board. The state mandated time table is being followed for the election and any homeowner can run. If it were discovered the homeowner had a record or condition that makes them ineligible then that would be reviewed. I’ve only seen one candidate get disqualified and that was because they were convicted of a felony.

The lack of appearance and apparent violation of the Park Paseo Homeowners Association bylaws induces me to publish our correspondence on this matter on my website. This will be done this weekend.
Along with this will be the publication of the interim July Newsletter and the unofficial Annual Audit. Thank you for sending me. I appreciate it.
Thank you for sending me the May and June Board minutes. But I do not have the January, February, March and April minutes, nor May, June or July Agenda’s, or the Mar – July Architecture Committee Agendas or March – June Architecture Committee minutes. I think that I mentioned that the Communal website is missing these items also.
